1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of Helixson Cloud’s infrastructure, hosting, and related products and services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

2. Account Registration

• You must be at least 18 years old to register and use the Services.
• You agree to provide accurate, complete, and current information during account creation.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are fully responsible for all activities under your account.

Helixson Cloud reserves the right to suspend or terminate accounts with false, incomplete, or misleading information.

3. Use of Services

You agree to use our Services only for lawful purposes and in compliance with our Acceptable Use Policy (AUP). You may not use the Services to:

• Engage in illegal, fraudulent, or harmful activities
• Violate or infringe upon intellectual property rights
• Upload or distribute malware, viruses, or spam
• Conduct cryptocurrency mining without express written authorization
• Interfere with, disrupt, or attempt to gain unauthorized access to our systems or networks

Helixson Cloud may suspend or terminate your account immediately if these rules are violated.

4. Service Availability and Uptime

We strive to maintain high availability and performance as outlined in our Service Level Agreement (SLA). However, Helixson Cloud does not guarantee uninterrupted service and shall not be liable for downtime resulting from:

• Scheduled or emergency maintenance
• Network or data center outages outside our control
• Force majeure events (natural disasters, government actions, etc.)

5. Billing and Payments

• Services are billed on a monthly, hourly, or usage-based plan as per your subscription.
• All fees are non-refundable, except where explicitly stated in our Refund Policy.
• You must maintain valid and up-to-date payment information.
• You authorize Helixson Cloud to charge your selected payment method for all applicable fees.
• Late or failed payments may result in service suspension or termination.
• Taxes such as GST or VAT will be applied as required by law.

6. Termination and Suspension

Helixson Cloud may suspend or terminate your access to the Services if you:

• Breach these Terms or our AUP
• Fail to pay any due fees
• Engage in activity that risks harm to the company, other customers, or the network infrastructure

You may terminate your account at any time through your customer dashboard. Upon termination, your data, servers, and backups may be permanently deleted and cannot be recovered.

7. Intellectual Property

• All content, software, technology, and branding associated with the Services are owned or licensed by Helixson Global (OPC) Pvt. Ltd.
• You retain ownership of your data and content hosted on the platform.
• By using our Services, you grant Helixson Cloud a limited, non-exclusive license to host, transmit, and process your data solely as required to deliver the Services.

8. Warranties and Disclaimers

The Services are provided on an “as is” and “as available” basis. Helixson Cloud makes no warranties, express or implied, including but not limited to:

• Fitness for a particular purpose
• Merchantability
• Non-infringement
• Uninterrupted or error-free service operation

We do not warrant that your data will be completely secure or that access will be continuous.

9. Limitation of Liability

To the fullest extent permitted by law, Helixson Global (OPC) Pvt. Ltd. and its affiliates shall not be liable for:

• Any indirect, incidental, consequential, or special damages
• Loss of profits, revenue, data, or business opportunities
• Downtime, service interruptions, or data loss

Our total aggregate liability for any claim shall not exceed the total amount you paid to us for Services during the preceding three (3) months.

10. Indemnification

You agree to indemnify, defend, and hold harmless Helixson Global (OPC) Pvt. Ltd., its employees, directors, and affiliates from any claims, damages, losses, or liabilities arising from:

• Your use or misuse of the Services
• Your violation of these Terms or applicable laws
• Any content, data, or activity transmitted through your account

11. Modifications to Terms

Helixson Cloud may update these Terms from time to time. Any material changes will be communicated via email or through your account dashboard. Your continued use of the Services after the changes become effective constitutes your acceptance of the revised Terms.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, specifically under the jurisdiction of Ghaziabad, Uttar Pradesh.

Any disputes arising from or relating to these Terms shall be resolved through binding arbitration in Ghaziabad, Uttar Pradesh, in accordance with the Arbitration and Conciliation Act, 1996, or through courts of competent jurisdiction, where applicable.
